These Terms of Service ("Terms") govern your access to and use of the NurseSend platform and services (the "Service") operated by CarbonApps LLC ("we," "us," or "our"). Please read these Terms carefully before using the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Acceptance of Terms

By creating an account, accessing the Service, or clicking "I agree," you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and update your information to keep it accurate and complete
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that are used in violation of these Terms.

3. Subscription and Payments

Access to the Service requires a paid subscription or active free trial. By subscribing, you agree to the following:

  • Subscriptions are billed on a recurring basis (monthly or annual) as selected at the time of purchase
  • Payments are processed through our third-party payment processor and are non-refundable except as stated in our refund policy
  • We offer a 30-day money-back guarantee for new subscribers on their first subscription period
  • You authorize us to charge the payment method on file for all applicable fees
  • We may change pricing with 30 days advance notice; changes take effect at the next billing cycle
  • Failure to pay may result in suspension or termination of your account

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. The Service is intended for legitimate nurse and healthcare recruitment, and related professional purposes.

When using the Service, you agree to comply with all applicable laws and regulations, including the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), and any state-specific communication regulations.

5. Data Usage Restrictions

Data accessed through the Service is licensed, not sold. You may NOT:

  • Resell, redistribute, sublicense, or share the data with third parties outside your organization
  • Use the data for unsolicited bulk email (spam), automated calling, or any form of harassment
  • Scrape, crawl, or use automated tools to extract data from the platform beyond normal usage
  • Build or contribute to a competing database or service using our data
  • Use the data for any purpose unrelated to healthcare recruitment or staffing
  • Attempt to de-anonymize or re-identify any aggregated or anonymized data
  • Use the data in any way that violates applicable privacy laws or opt-out requests

Violation of these data usage restrictions may result in immediate account termination and legal action.

6. Intellectual Property

The Service, including its design, features, content, database structure, algorithms, and underlying technology, is the exclusive property of CarbonApps LLC and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. This license does not include the right to copy, modify, distribute, or create derivative works from any part of the Service.

NurseSend, the NurseSend logo, and related marks are trademarks of CarbonApps LLC. You may not use these marks without our prior written consent.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

While we strive for accuracy, we do not warrant that the contact data in our database is complete, accurate, or current at all times. Contact information may change, and professionals may relocate or retire. You are responsible for verifying information before relying on it for critical decisions.

We do not guarantee uninterrupted or error-free access to the Service. We may perform maintenance, updates, or experience outages that temporarily affect availability.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARBONAPPS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Termination

You may cancel your subscription and close your account at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these Terms. Upon termination:

  • Your right to use the Service ceases immediately
  • You must destroy any data downloaded from the Service
  • We may delete your account data after 30 days
  • Provisions that by their nature should survive termination will remain in effect

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.

You agree to submit to the personal jurisdiction of such courts and waive any objection to venue or inconvenient forum.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
